What I'm bringing to the potential partnership:

150,000 dollars in restaurant, kitchen, and bar equipment.

Lease negotiation on a 20,000 sq ft. building in a location convienent for 45,000+ college students

Realty company agrees to put $200,000 in building renovations to bring the building up to code, and is asking $5,000 / month for rent ($2.50 per sq. ft).

Deprived market with no night club competition within 1 1/2 hours.

Business plan and pictures available upon request.

I've spent 2 years developing this plan, and I have 150,000 in equipment from a previous business.

Cash flows show a modest potential net profit ranging 400,000 - 500,000 per year.

It sounds like you have most of the bases covered. What are you expecting out of the partnership?

What I would like out of this partnership is an experienced individual who can bring some cash to the table. This business is still up for grabs.

% of ownership will be determined after cash is spent, to determine allocation. A preliminary ownership agreement will be tentatively signed, on estimated projections to provide security while money is being spent.

Concrete ownership % will be established after all money for startup has been spent.

you want someone to give you all there $ and help you build but you won't let them know what % they own until you are done ? doesn't sound to fair or make much business sense to me. what if i put up 200k, will i be the majority owner ? can you really say you have 150 in equipment if it is all used ? just my take on things. mike

My apologies, I must have written my response in a misleading direction. So Ministry, bear with me while I try to explain the proposal.

It should also be noted that a partner willing to put 200K into this project, stacked against 150K in equipment, would be the majority owner in the partnership.

There will be a % of ownership signed before the project takes off, but I simply wanted to make sure it was "tentative", in case additional money has to be injected to complete the project. So after start-up, if the percentages need to be adjusted, that liberty can be granted.

There may be an easier, more practical solution to this situation. But, If someone comes to the table with that kind of money we'll take it from there.

I will say that for the business plan, and footwork, I've added only a small percentage of ownership to my favor. Meaning the financial value each partner brings to the table will closely resemble their partnership percentage in proportion to the total project cost.
