between a club and production company (booking agent)

Anyone have any good ones I could use?

I'll search my files. I think that Barnes and Noble has a book of legal contracts that you can buy. I have seen software that you can cut and paste and insert. Have you searched the internet yet?

I'm sure that your attorney can draft a generic one for you.

but it's not quite what I need. I host wednesday nights there with best of the best bands "unplugged" as well as feature a fashion designer and an artist or photographer. The club may be sold but the owner told me whomever buys the club would have to honor all contracts with the promoters including me. So I need something to cover my butt to keep it going for the time being until I find another club to move this to.

If your current club owner signed this then you have possibly created a no lose situation for yourself. The agreement mentions -Employer- and Agent, by him signing this he would have placed you into employer/employee relationship which would give you access to overtime, social security, vacations, sick time, unemployment etc. Also both parties would be liable for the taxes, and fed/state contributions required.

This could also mean that any work done by you on the clubs behalf, contacts, promo names and other Intellectual Property will remain with the club. Possibly even your name or the name of your promotion. As a new owner I would not assume your employment agreement and make the previous owner the responsible party, then take your work as a part of the Goodwill and Tradmark/Service Marks as mine, with no other compensation.

You must use an Independent Contractor form.
